This is a legal agreement between you and Imagemore Co., Ltd, (Imagemore). In using the products from Imagemore all Series, you agree to be bound by all the terms and conditions of this agreement. If you do not wish to accept the terms of this Agreement, please return of the unused product within 7 days of the original invoice date. All approved cancellations require that you guarantee that you have not made use of the products and all files have been destroyed.

• License Products "Products" shall mean any or whole part of any image, illustration, film, footage, video, audio or other visual representation delivered in any format, including but not limited to any physical storage media (ex. CD, DVD, etc.) or any online or electronic transmission.
• License Grant All "Products" are proprietary and copyrighted. All rights are reserved by Imagemore and its licensors. This license is granted only to the registered owner of Imagemore Products. You can register on website www.imagemore.com to protect your rights or take your invoice as your registration proof. No rights may be granted to the images other than the right to use the Products as part of design. You shall be held legally responsible for any copyright infringement that is caused by your failure to comply with the terms of this Agreement. Note that there are penalties for the unauthorized use of Imagemore Products.
• Permitted Usage By this agreement, IMAGEMORE grants to you (the registered owner) the non-exclusive, non-transferable right to use the Products in advertising and promotional materials for you or your direct clients or customers, who must be the end-user. Examples include: advertisements, reports, brochures, books, presentations, video, multimedia applications, or packaging, but not "retail photo products" include, without limitation, greeting cards, calendars, postcards, stationery, posters, t-shirts, ties, "photo mugs", and mouse pads, offered for sale (wholesale and retail).
• License Restrictions
  • You may not sub-license, sell, re-sell, distribute, give away, lend, rent, lease or provide to others any portion of the Products.
  • You may not use, or allow anyone else to use any of the Products to create pornographic, libelous, obscene, defamatory, or otherwise unlawful material.
  • Use Products with logos or trademarks without authorization from the depositary of the logo or trademark.
  • You may not place the Products on no more than one computer with one user at a time.
  • You may not post the Products on any electronic bulletin board, place the Products on-line in a downloadable or FTP format, or use the Products on a Website at a resolution greater than 640 X 480 pixels at 72 dpi.
  You agree to indemnify and hold Imagemore harmless against any damages or liability of any kind arising from any use of Products except the uses specifically permitted by this Agreement.
• Limited Warranties
  • Your sole and exclusive remedy for a breach of this warranty is the replacement of the Products, provided you have not use the Products.
  • IMAGEMORE makes no other warranty. Neither "IMAGEMORE", nor its licensors will be liable to you or any other person or entity for any general, special, consequential, incidental, direct, indirect or other damages arising out of this license of the Products including any lost profits or any claim of a third party. All such Products are provided "as is" without warranty of any kind. IMAGEMORE ¡¥s maximum liability arising from this Agreement, shall to the extent permitted, be limited to the monetary amount actually received by IMAGEMORE for the Products.
  • IMAGEMORE grants no rights or warranties with respect to the use names, trademarks, Patterns, Proprietary Rights, Logo types, Privacy, Ownership, Rights of publicity, Moral rights, Trade Secret, Copyrighted designs or works of art or architecture depicted in any Products, you have to satisfy yourself all necessary rights, consents, or permissions as may be required are acquired. Please note that your purchase price has not contained the foregoing usage rights.
  • IMAGEMORE makes no warranties with regard to the accuracy of any metadata, including but not limited to keywords and captions, with any Products. IMAGEMORE is not responsible for any damages caused by using of the metadata.
  • IMAGEMORE reserves the right to withdraw any Products from time to time, upon the post-up shown on www.imagemore.com, you shall not use the Products any more.
• Unauthorized uses and Indemnity Any use of Products not specifically granted by this Agreement or breach any terms of this Agree terms constitutes copyright infringement, entitling Imagemore to exercise all rights and remedies available to it under applicable copyright and other laws all over the world. And you agree to pay ten (10) times license fee for the unauthorized use, in addition to any other costs and expenses, including without limitation legal fees, damages, settlements, damages and penalties Imagemore shall be entitled to under this Agreement and applicable law.
• General
  • This Agreement shall be governed by the laws of Taiwan. In case of any problems, the court of Taipei, Taiwan, will have exclusive jurisdiction.
  • If any part of this Agreement is found void and unenforceable, it will not affect the validity of the remaining terms of the Agreement, which shall remain valid and enforceable according to its terms.
  • No terms or conditions may be amended or deleted to this Agreement unless made in writing and signed by Imagemore.
  • Imagemore and its licensors reserve all rights not expressly granted under this Agreement.
  • Imagemore and its licensors reserve the rights to (i) not permit use of any Products for any reason whatever; and (ii) notify you that certain Products are no longer available for use. Upon such post-up, the license to use such Products shall automatically and immediately terminate.
  • This Agreement shall terminate automatically without notice from Imagemore if you fail to pay in full for any Products or breach any of its terms.
  • Imagemore reserves the right to change any of the terms of this Agreement at any time, and you agree to be bound by such changes. The terms of this Agreement which be declared on official website (www.imagemore.com) shall supersede and replace any other terms of use which may be included in any prepackaged Products delivered to you or any previous discussions or correspondence by Imagemore.

This End User License Agreement doesn¡¦t apply to Hong Kong, China and Taiwan area.
